These Terms & Conditions (“Agreement”) govern the use of the ToiDoi Marketplace website, mobile application, and services (“Platform”). By accessing, browsing, registering, or transacting on ToiDoi Marketplace, you agree to be bound by this Agreement, along with our Privacy Policy, Refund & Return Policy, Cancellation Policy, and Shipping Policy, which are incorporated by reference.

If you do not agree with these Terms, you must not use our Platform.

1. Definitions

  • “Company”, “We”, “Us”, “Our” refers to ToiDoi Marketplace.

  • “User”, “You”, “Your” means any individual or entity accessing or using the Platform.

  • “Vendor” or “Seller” refers to third-party merchants listing their products on the Platform.

  • “Services” means all features, technologies, and functionalities provided through the Platform.

2. Account Registration & Security

  • Users must register with accurate, complete, and verifiable details.

  • You are solely responsible for maintaining the confidentiality of your login credentials and for all activities occurring under your account.

  • The Company shall not be held liable for unauthorized access arising from your failure to secure your account.

3. Use of Platform

  • The Platform shall be used strictly in accordance with applicable laws.

  • You shall not engage in:

    • Fraudulent transactions or misuse of promotional offers.

    • Uploading or transmitting harmful, obscene, defamatory, or illegal content.

    • Attempting to interfere with or disrupt the Platform’s security or operations.

4. Orders & Contract of Sale

  • Placement of an order constitutes an offer by you to purchase products from the listed Vendor.

  • An order shall be considered accepted only when confirmed by the Vendor/Company through the Platform.

  • The Company is a facilitator and not the manufacturer or owner of the products. Liability for product quality, warranties, and representations lies with the respective Vendor.

5. Pricing & Payments

  • All prices displayed are inclusive of applicable taxes unless stated otherwise.

  • Prices and availability are subject to change without notice.

  • Payments must be made only through authorized payment channels integrated on the Platform.

  • The Company reserves the right to cancel orders in case of pricing errors or payment disputes.

6. Shipping & Delivery

  • Delivery timelines are estimates and may vary due to factors beyond our control (traffic, weather, strikes, or force majeure events).

  • Risk of loss and title for products pass to you upon delivery.

7. Returns, Refunds & Cancellations

  • Returns, refunds, and cancellations shall be governed by our Refund & Return Policy and Cancellation Policy.

  • Certain categories of goods may be non-returnable, as specified at the time of purchase.

8. Intellectual Property Rights

  • All intellectual property on the Platform, including but not limited to text, graphics, software, trademarks, and designs, is owned or licensed by ToiDoi Marketplace.

  • Users are prohibited from reproducing, distributing, or creating derivative works without prior written consent.

9. Limitation of Liability

  • The Company acts only as an intermediary between Users and Vendors.

  • To the maximum extent permitted by law, the Company shall not be liable for:

    • Product defects, damages, or non-performance by Vendors.

    • Indirect, incidental, punitive, or consequential damages arising from use of the Platform.

  • In any case, the Company’s liability shall be limited to the amount paid by you for the specific order giving rise to the claim.

10. Indemnification

You agree to indemnify and hold harmless ToiDoi Marketplace, its affiliates, directors, employees, and partners from any claims, damages, liabilities, costs, or expenses arising out of:

  • Your use of the Platform.

  • Violation of these Terms.

  • Infringement of any third-party rights.

11. Privacy & Data Protection

  • The Company shall collect, store, and process User data in accordance with its Privacy Policy.

  • By using the Platform, you consent to such collection and usage.

12. Suspension & Termination

  • The Company reserves the right to suspend or terminate your account or restrict access to the Platform without prior notice if:

    • You violate these Terms.

    • Fraudulent or unlawful activities are detected.

  • Termination does not affect accrued rights and obligations.

13. Governing Law & Jurisdiction

  • This Agreement shall be governed by and construed in accordance with the laws of India.

  • Any disputes shall be subject to the exclusive jurisdiction of the competent courts located in [Insert City], India.

14. Amendments

  • The Company may update or revise these Terms at any time without prior notice.
